These terms govern your use of GK Tools Ltd's websites and services. By using our services, you agree to these terms. We've tried to keep them fair and readable.
Plain English summary: Use our services sensibly, pay your bills, don't do anything illegal, and we'll do our best to provide reliable software. If something goes wrong, let's try to sort it out like reasonable people.

2. Our Services
GK Tools Ltd provides:
- Invoicer: Online invoicing software for creating, sending, and managing invoices and quotes.
- Gravity Host: Web hosting services.
- Other software tools: As we develop and release them.
Each service may have its own specific terms which will be shown when you sign up.
3. Creating an Account
To use most of our services, you'll need to create an account. You agree to:
- Provide accurate information when registering
- Keep your login details secure
- Tell us if you think someone else has accessed your account
- Be responsible for all activity under your account
You must be 18 or over to create an account. Our services are designed for businesses and professionals.
4. Acceptable Use
You agree not to use our services to:
- Do anything illegal or help others do illegal things
- Send spam, phishing emails, or malware
- Infringe anyone's intellectual property rights
- Harass, threaten, or harm others
- Attempt to access systems or data you're not authorised to access
- Interfere with or disrupt our services
- Resell or redistribute our services without permission
- Use automated tools to scrape data or overload our systems
If we find you're misusing our services, we may suspend or terminate your account.
5. Your Data and Content
You own your data. Any content you create or upload (invoices, client lists, documents) belongs to you. We don't claim any ownership over it.
By using our services, you grant us the limited rights needed to provide those services - for example, storing your data, displaying it to you, and sending emails on your behalf. We won't use your data for any other purpose.
You're responsible for ensuring you have the right to use any content you upload, and that it doesn't infringe anyone else's rights.
6. Invoicer - Specific Terms
If you use Invoicer:
- Accuracy: You're responsible for the accuracy of invoices you create. We provide the tools; you provide the content.
- Tax compliance: Invoicer helps you create professional invoices, but you're responsible for your own tax obligations (VAT, income tax, etc.). We're not accountants.
- Data export: You can export your data at any time. We believe your data should be portable.
- Payment processing: If you use payment features, transactions are processed by Stripe. Their terms apply to payment processing.
7. Payment and Subscriptions
For paid services:
- Pricing: Prices are shown in GBP and include VAT where applicable.
- Billing: Subscriptions are billed monthly or annually, depending on your choice.
- Payment: We use Stripe for payment processing. You agree to their terms when making payments.
- Renewals: Subscriptions automatically renew unless you cancel before the renewal date.
- Price changes: We'll give you at least 30 days notice before any price increase.
- Refunds: We offer a 14-day money-back guarantee for new subscriptions. After that, we don't offer refunds for partial months, but you can cancel at any time and continue using the service until your current period ends.
8. Free Trials and Plans
We may offer free trials or free plans with limited features. These may be modified or discontinued at any time. If a free trial ends and you don't upgrade, you may lose access to certain features, but we'll always let you export your data.
9. Service Availability
We aim for high availability, but we can't guarantee 100% uptime. Services may be unavailable due to:
- Planned maintenance (we'll try to give notice)
- Unexpected technical issues
- Factors outside our control (internet outages, etc.)

10. Intellectual Property
Our software, websites, branding, and documentation are owned by GK Tools Ltd and protected by copyright and other intellectual property laws.
We grant you a limited, non-exclusive licence to use our services for your business purposes. You may not copy, modify, distribute, sell, or lease any part of our services without our written permission.
11. Limitation of Liability
Important: Please read this section carefully.
To the maximum extent permitted by law:
- Our services are provided "as is" without warranties of any kind, except as expressly stated in these terms.
- We're not liable for any indirect, incidental, special, or consequential damages.
- Our total liability to you for any claims arising from your use of our services is limited to the amount you've paid us in the 12 months before the claim arose.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or anything else that can't be limited by law.
We strongly recommend you maintain your own backups of important data.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these terms.
13. Termination
You can terminate:
- Cancel your subscription at any time through your account settings
- Request account deletion by contacting us
We can terminate:
- If you breach these terms
- If you don't pay for services
- If we discontinue a service (with reasonable notice)
On termination, you'll have 30 days to export your data, after which we may delete it.
14. Changes to These Terms
We may update these terms from time to time. For significant changes, we'll notify you by email or through our services at least 30 days before they take effect. Continued use after changes means you accept the new terms.
15. Governing Law and Disputes
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General
- Entire agreement: These terms (plus any service-specific terms) are the entire agreement between us.
- Severability: If any part of these terms is found to be unenforceable, the rest still applies.
- No waiver: If we don't enforce a term, it doesn't mean we're waiving our right to do so later.
- Assignment: You can't transfer your account without our permission. We can transfer our rights and obligations to another organisation.
